Terms of service

Agreeing to these terms

By creating an account or using the Nox apps or website (the "Service"), you agree to these terms and to our privacy policy. If you do not agree, do not use the Service. In these terms, Nox Technologies Ltd. is "we", "us" or "our".

Who can use Nox

You must be at least 13 years old, or older if your country requires a higher age to use a service like ours without a parent's consent. You may not use the Service if we have previously banned you, or if the law where you live prohibits you from using it.

Your account

• Give accurate information when you sign up, and keep your phone number and email address current if you have added them.
• Keep your password, and any code we send you, to yourself. Anyone who has them can use your account. We will never ask you for your password.
• You are responsible for what happens in your account. Use a strong, unique password, and sign out any device you don't recognize in Settings → Privacy and security → Devices.
• An account is for one person. Do not sell, rent or transfer your account or your username.
• We may reclaim a username that impersonates someone, infringes another person's rights, or misleads people.

Acceptable use

Use Nox lawfully and respectfully. You must not use the Service to:

• share content that sexually exploits or endangers children, in any form;
• promote terrorism or violent extremism, or threaten, incite or glorify violence;
• harass, bully, threaten or intimidate anyone, or share someone's private information or intimate images without their consent;
• send spam, run scams or phishing, or sell illegal goods or services;
• impersonate a person or organization, or misrepresent who you are;
• infringe anyone's intellectual property, privacy or other rights;
• distribute malware, or try to gain unauthorized access to accounts, systems or data;
• disrupt, overload or attack the Service, or get around its limits, security or moderation;
• collect other people's information by scraping or other automated means, or create accounts by automated means;
• copy, modify, reverse engineer or resell the Service, except where the law expressly allows it.

Your content

You own the messages, photos, videos, files and other content you send through Nox. To run the Service, you give us a worldwide, non-exclusive, royalty-free license to store, copy, transmit and display your content, only as needed to deliver it to the people you choose, sync it across your devices, keep the Service safe and enforce these terms. This license ends when your content is deleted from our servers, except where we must keep it by law.

You are responsible for the content you send, and you confirm that you have the rights needed to share it.

Groups and bots

Group owners and administrators decide who can join their groups and set their own rules, and they are responsible for managing them in line with these terms. Bots in Nox are run by their developers, not by us. Before you share information with a bot, check who runs it, because the bot's developer receives what you send it.

Reports, moderation and appeals

You can report messages, accounts and groups from inside the app. We review reports and may also act when we become aware of a breach in other ways. If content or behavior breaks these terms or the law, we may remove content, limit what an account can do for a period, or suspend or permanently ban an account. Where the law requires it, we may report illegal content to the authorities.

When we restrict your account, we will tell you in the app when we can. You may be given a link to appeal the decision, and the appeal will be reviewed separately from the original decision.

Privacy

Our privacy policy explains how we handle your information, including that messages are stored on our servers so they can sync across your devices.

Fees

Nox is free to use. If we introduce paid features, we will show the price and terms before you buy, and purchases made through an app store are handled under that store's terms.

Changes to the Service

We are always improving Nox, so we may add, change or remove features. If a change significantly reduces what you can do, we will try to tell you in advance. We may also change these terms. If a change is significant, we will tell you in the app or on this website before it takes effect. If you keep using the Service after that, you accept the new terms.

Ending these terms

You can stop using Nox at any time, and you can delete your account as described in our privacy policy. We may suspend or end your access if you seriously or repeatedly break these terms, if the law requires it, or if your use creates a risk or legal exposure for us or others. The sections on your content, disclaimers, limitation of liability, indemnity and disputes continue to apply after these terms end.

App store terms

If you downloaded Nox from the Apple App Store, you also agree that:

• these terms are between you and Nox Technologies Ltd. only, not Apple, and we, not Apple, are solely responsible for the app and its content;
• your license to use the app is limited to Apple-branded devices you own or control, as allowed by the App Store's Usage Rules;
• Apple has no obligation to provide maintenance or support for the app;
• if the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the extent the law allows, Apple has no other warranty obligation for the app;
• we, not Apple, are responsible for any claims relating to the app, including product liability claims, claims that it fails to meet a legal or regulatory requirement, consumer protection claims and intellectual property infringement claims;
• you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties;
• Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

If you downloaded Nox from Google Play or another store, that store's terms also apply to your download, and the store is not responsible for the app.

Disclaimers

We work hard to keep Nox available and reliable, but the Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free or secure, or that messages will always be delivered. We are not responsible for content that other people send or for the bots they run. Nothing in these terms limits rights you have under consumer protection laws that cannot be waived.

Limitation of liability

To the fullest extent the law allows, Nox Technologies Ltd. and its directors, employees and partners are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars (US$100). Some jurisdictions do not allow these limits, so they may not apply to you.

Indemnity

To the extent the law allows, you agree to defend and compensate Nox Technologies Ltd. against claims, losses and costs, including reasonable legal fees, that arise from your content or your breach of these terms.

Governing law and disputes

These terms are governed by the laws of the place where Nox Technologies Ltd. has its registered office, without regard to conflict-of-law rules. Before starting a formal dispute, please contact us so we can try to resolve it informally. If we cannot resolve it within 60 days, either of us may bring the dispute before the competent courts of that place. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in your local courts.

General

These terms and our privacy policy are the whole agreement between you and us about the Service. If any part of these terms cannot be enforced, the rest stays in effect. If we do not enforce a part of these terms, that does not waive our right to do so later. You may not transfer your rights under these terms without our consent; we may transfer ours as part of a merger, acquisition or sale of assets.
